Welcome to 1% ("1%," "we," "us," or "our"), operated by Wingman Group LLC, a Wyoming limited liability company. These Terms of Service ("Terms") govern your access to and use of our web application, mobile applications, websites, webinars, live events, coaching services, educational content, consulting services, done-for-you services, and any other products or services we offer now or in the future (collectively, the "Services"). Our Services are designed to enhance your online dating experience through AI-powered image editing, dating profile optimization, expert coaching, educational resources, and related tools.

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

IMPORTANT DISCLAIMERS: Our Services are designed to help you market yourself more effectively on dating platforms. We do not condone catfishing, misrepresentation, or deceptive practices. You must be able to deliver the lifestyle and experiences you portray. Our Services may help you obtain matches, but success depends on many factors outside our control.

1. ELIGIBILITY AND ACCEPTABLE USE

1.1 Age and Capacity

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into these Terms and that all information you provide is accurate and current.

1.2 Intended Use

Our Services are designed for individuals who:

Want to improve their online dating profiles through professional image editing and optimization
Can authentically deliver the lifestyle and experiences portrayed in their profiles
Understand that we solve marketing challenges, not fundamental value proposition issues
Agree to use our Services ethically and in compliance with all applicable laws

1.3 Prohibited Users

ZERO TOLERANCE POLICY: The following individuals are strictly prohibited from using our Services and will be permanently banned upon discovery. By accessing or using our Services, you represent and warrant that none of the following apply to you:

You are a registered sex offender under any federal, state, or local sex offender registry
You have been convicted in a court of law of any sexual offense including but not limited to rape, sexual assault, sexual battery, or any other form of non-consensual sexual conduct
You have been convicted in a court of law of any offense involving child sexual abuse material (CSAM), child pornography, child exploitation, child solicitation, or any related offense involving minors
You have been convicted in a court of law of human trafficking, sexual trafficking, or any exploitation-related offense
You are subject to any court order, probation condition, or parole condition that restricts your use of the internet, dating platforms, or contact with potential romantic partners

If we discover or reasonably believe that you fall into any of the above categories, we will immediately and permanently terminate your account without notice, refund, or compensation of any kind. We reserve the right to report such individuals to the appropriate law enforcement authorities and to cooperate fully with any resulting investigations.

This policy exists to protect the safety of all individuals who may interact with our users on dating platforms. Any attempt to circumvent this restriction—including creating new accounts after termination—will be treated as a further violation of these Terms and may result in additional legal action.

1.4 Prohibited Uses

You agree NOT to use our Services to:

Engage in catfishing, identity theft, or impersonation of others
Create profiles that fundamentally misrepresent who you are or your lifestyle
Violate the terms of service of any dating platform or application
Harass, abuse, stalk, or harm other users on dating platforms
Create content that is illegal, defamatory, obscene, or violates others' rights
Use our Services for any commercial purpose without our written consent
Reverse engineer, decompile, or attempt to extract our proprietary methods
Share, resell, or redistribute content created through our Services without authorization
Use automated systems or bots to access our Services
Circumvent any security features or access restrictions
Engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure
Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks
Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
Use the Services for any purpose or in any manner that is not typical personal use

1.5 Conduct Toward Our Team

ZERO TOLERANCE FOR ABUSE: We do not tolerate any form of abuse, harassment, threats, intimidation, or disrespectful behavior directed toward our team members, including but not limited to coaches, editors, support staff, community moderators, and any other representatives of Wingman Group LLC.

This includes, without limitation:

Verbal or written abuse, including profanity, slurs, or derogatory language directed at team members
Threats of violence, harm, legal action used as intimidation, or any other threatening behavior
Harassment, including repeated unwanted contact, personal attacks, or attempts to contact team members through personal channels
Discriminatory remarks based on race, gender, sexual orientation, religion, nationality, or any other protected characteristic
Persistent unreasonable demands, including aggressive behavior during coaching calls, support interactions, or community discussions
Publicly defaming, doxxing, or sharing personal information about our team members

Any violation of this policy may result in immediate account termination without notice, refund, or compensation. We reserve the right to refuse service to anyone who mistreats our team. Our team members are empowered to end any interaction — including coaching calls, support chats, or community conversations — if they feel they are being treated disrespectfully. Repeated or severe violations may result in a permanent ban and additional legal action.

1.6 Account Security

You are responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree to:

Create a strong, unique password and not reuse passwords from other services
Not share your account credentials with any third party
Notify us immediately at support@onepercent.dating if you suspect any unauthorized access to or use of your account
Accept responsibility for all activity that occurs under your account, whether or not authorized by you

We are not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to disable any account at any time if we reasonably believe that you have failed to comply with these provisions.

1.7 Sanctions and Trade Compliance

By using our Services, you represent and warrant that:

You are not located in, nor a resident or national of, any country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country
You are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals ("SDN List"), the U.S. Commerce Department's Denied Persons List, or any similar list maintained by any other governmental authority
You will not use our Services in violation of any applicable export control laws, sanctions, or regulations

2. OUR SERVICES

2.1 Image Studio

Our Image Studio provides both DIY (Do-It-Yourself) and DFY (Done-For-You) AI-powered photo creation services:

DIY AI Photos:

Create AI-generated photos using our proprietary tools and templates
Subject to credit limits based on your subscription tier
All created images remain your property, subject to our license terms

DFY AI Photos:

Professional human editors create custom AI photos for you
Delivery times vary based on request complexity
Unlimited variations per request, subject to Fair Use Policy (see Section 2.6)
Available only with sufficient credit balance
Credits are deducted at the time of submission. Once an editor has begun working on your request, the credits spent are non-refundable and cannot be returned to your account, regardless of whether you cancel the request, are dissatisfied with the result, or no longer wish to use the final output.

2.2 Photo Bank

Access to hundreds of pre-validated photo concepts that can be customized for your profile. You may use these as inspiration or request variations through the Image Studio.

2.3 Profile Builder

Tools to create, test, and optimize your dating profiles, including validated prompts and bio templates. You are responsible for ensuring all content accurately represents you.

2.4 Wingman Messaging Assistant

AI-powered messaging assistance to help you craft responses for dating app conversations. You upload conversation screenshots and receive suggested messages. Message quality and available AI models may vary by subscription tier. Credit costs per message vary based on the AI model selected.

2.5 Community and Support

Access to our Digital Black Belt community is available on applicable plans. Community guidelines must be followed, and we reserve the right to remove members who violate our standards.

2.6 Coaching and Consulting Services

We offer various coaching and consulting services, including but not limited to 1-on-1 coaching calls, group coaching sessions, profile reviews, and strategy consultations. By participating in any coaching or consulting service:

You acknowledge that coaching is educational and informational in nature — it is not therapy, counseling, psychological advice, legal advice, or any other form of licensed professional service
All advice, recommendations, and strategies are based on our experience and expertise but are provided without any guarantee of specific results
You are solely responsible for your own decisions, actions, and results, whether or not they are based on information or advice received through our coaching services
Coaching sessions may be recorded for quality assurance and training purposes unless you opt out at the start of the session
Rescheduling and no-show policies apply as communicated at the time of booking — missed sessions may be forfeited without refund or credit

2.7 Webinars and Live Events

We host webinars, workshops, live events, and other educational or promotional sessions (collectively, "Events"). By registering for or attending any Event:

You agree that all Event content (presentations, materials, recordings, strategies, and frameworks) is our intellectual property and may not be recorded, reproduced, distributed, or shared without our written permission
You consent to being recorded, photographed, or captured in screenshots during the Event, and grant us the right to use such recordings or images for marketing, educational, or promotional purposes without compensation
Event schedules, speakers, and content are subject to change without notice
We are not responsible for any technical issues that prevent your attendance or participation, including internet connectivity, platform outages, or device compatibility
For in-person events, you assume all risk associated with attendance, including travel, personal safety, and any interactions with other attendees

2.8 Profile Reviews

We offer dating profile review services where our team analyzes and provides feedback on your dating profile. Profile reviews are subjective assessments based on our expertise and experience. We do not guarantee that implementing our recommendations will result in any specific number of matches, dates, or outcomes. Profile review content and feedback are for your personal use only and may not be redistributed.

2.9 Courses, Guides, and Educational Content

We provide access to pre-recorded courses, written guides, and other educational materials. By accessing this content:

You receive a limited, non-exclusive, non-transferable license to access the content for personal, non-commercial use only
You may not copy, download (unless explicitly permitted), record, redistribute, resell, or share the content with any third party
All educational content is our intellectual property and is protected by copyright law
Access to content may be tied to your active subscription and may be revoked upon cancellation or termination

2.10 One-Time Purchases and Standalone Offers

From time to time, we may offer one-time purchases, standalone products, limited-time offers, or other services outside of the standard subscription plans. These Terms apply to all such purchases unless specific additional terms are provided at the time of purchase, in which case those additional terms supplement (and in the event of conflict, take precedence over) these Terms. All one-time purchases are final and non-refundable unless explicitly stated otherwise at the time of purchase.

2.11 Fair Use Policy for DFY Services

While we offer "unlimited variations" for DFY AI Photos, this is subject to our Fair Use Policy:

Reasonable use is typically 10-50 variations per request
Excessive requests for minor changes may be limited
We reserve the right to determine what constitutes reasonable use
Abusive or excessive use may result in service limitations or account termination
Commercial use or bulk requests are prohibited without written consent

Our Fair Use Policy ensures quality service for all members while preventing abuse that could degrade the experience for others. That said, we want you to be happy with your results, and we're happy to occasionally exceed these limits where we deem it reasonable to ensure your satisfaction.

3. SUBSCRIPTION AND PAYMENT

3.1 Subscription Plans

We offer the following subscription plans. Each plan provides access to specific features and a credit allocation:

1% Membership: $347 USD per month. Includes 35,000 credits/month, DIY and Done-For-You AI photo creation, up to 50 AI training photos, private curated Photo Bank access (700+ photos), Profile Builder with A/B Testing, Wingman Messaging Assistant, exclusive courses and guides, workshops and Q&A sessions, and a monthly 1:1 coaching call.
Digital Black Belt: $300 USD per week. Includes everything in the 1% Membership plus 12,000 credits/week, weekly 1:1 mentorship calls, private 1:1 DM access with an expert, exclusive office hours, and access to the exclusive Slack community.
Additional Credits: Available for purchase within the app.

Legacy Plans (no longer available for new subscribers): The following plans are no longer offered but remain in effect for existing subscribers who enrolled prior to their discontinuation:

1% Premium (Legacy): $99 USD per month. Includes 12,000 credits/month, DIY and Done-For-You AI photo creation, up to 100 AI training photos, full Photo Bank access (500+ photos), Wingman Messaging Assistant, and Profile Builder with A/B Testing.
1% Lite (Legacy): $47 USD per month. Includes 5,000 credits/month, DIY AI photo creation only, up to 20 AI training photos, curated Photo Bank access (250 photos), Wingman Messaging Assistant, and Profile Builder with A/B Testing.
Done-For-You Profile (Legacy): $2,997 USD one-time payment. Includes personalized profile creation and optimization, 50 mutual matches guaranteed, and private 1-on-1 coaching.

Prices are subject to change with notice to existing subscribers. Feature availability is determined by your active subscription tier—see Section 3.5 for details.

3.2 Billing and Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or weekly, depending on your plan) unless cancelled. You authorize us to charge your payment method on a recurring basis. To avoid charges, cancel at least 24 hours before your renewal date.

3.3 Refunds

Refunds are available only as specified in our Refund Policy. We offer refunds within 30 days of initial signup for first-time clients on the monthly subscription plan. You must cancel your subscription and contact us to request a refund—cancelling alone is not sufficient. Additional credit top-up purchases are non-refundable.

3.4 Credit System

All features use a unified credit system. Credits are allocated based on your active subscription plan and are used to access the features included in that plan. You can purchase additional credits as needed, subject to availability and pricing within the app.

Credits spent on DFY (Done-For-You) services are non-reversible once work has begun on your request. Because DFY services involve human labor and dedicated resources that are committed upon acceptance of your request, credits cannot be refunded to your account after an editor has started working on your order. This applies regardless of outcome, satisfaction, or whether you choose to use the final deliverables.

3.5 Active Subscription Requirement

IMPORTANT: An active, paid subscription is required to use any credits associated with your account. Credits are only usable while your subscription is active and in good standing. If you cancel your subscription, you will retain access to your plan's features and credits until the end of your current billing period. Once your billing period expires, you will lose access to all features associated with your plan—even if you have remaining credits in your account. If your subscription is terminated by us for a policy violation, access may be revoked immediately without waiting for the billing period to end.

Specifically:

Credits do not function independently of your subscription. They are a usage allocation tied to your active plan, not a standalone balance or stored-value account.
When you cancel, you retain full access to your plan's features and can continue using your credits until the end of your current billing period. After your billing period ends, you can no longer use your remaining credits to access any features, including but not limited to the Image Studio (DIY and DFY), Photo Bank, Wingman Messaging Assistant, and Profile Builder.
Credits grant access only to the features included in your specific plan. For example, 1% Lite credits cannot be used for Done-For-You photo editing, which is a higher-tier feature. To access features from a higher-tier plan, you must upgrade your subscription to that tier.
Unused credits have no cash value and are not redeemable for cash, refunds, or any other form of compensation.
Credits from additional top-up purchases are also subject to this active subscription requirement—purchased credits cannot be used after your billing period has ended.
We are under no obligation to provide access to Services, features, or credits after your billing period ends, regardless of your remaining credit balance.

By subscribing, you acknowledge and agree that credits are a feature of your subscription and not a separate entitlement. Maintaining an active subscription is a prerequisite for using any and all credits in your account.

4. INTELLECTUAL PROPERTY

4.1 Your Content

You retain ownership of all photos and content you provide. By using our Services, you grant us a worldwide, non-exclusive license to use, modify, and process your content solely to provide our Services to you. This license ends when you delete your content or account, except where required for legal compliance or ban enforcement.

By uploading photos or other content to our Services, you represent and warrant that:

All photos submitted for AI model training are of yourself and accurately depict your current appearance
Photos uploaded as reference images for AI editing (e.g., pose references, style references, or concept images) do not need to be of you, but you must have the right to use them and they must not infringe on any third party's rights
You own or have all necessary rights, licenses, and permissions to upload and use all content you provide
Your content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party
Your content is not fraudulent, deceptive, or misleading
You will not upload content depicting minors under any circumstances

You are solely responsible for all content you upload. If we determine that any content you provided violates these warranties, we may remove it and terminate your account without notice or refund. You agree to indemnify us against any claims arising from content you upload that violates any third party's rights.

4.2 Our Intellectual Property

All aspects of our Services, including our software, algorithms, editing techniques, guides, templates, and the Photo Bank, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

4.3 Feedback

Any suggestions or feedback you provide becomes our property, and we may use it without compensation or attribution.

4.4 Digital Millennium Copyright Act (DMCA)

We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content available through our Services infringes your copyright, you may submit a DMCA takedown notice to our designated agent with the following information:

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
Identification of the copyrighted work claimed to have been infringed
Identification of the material claimed to be infringing and its location within our Services, with sufficient detail to allow us to locate it
Your contact information, including name, address, telephone number, and email address
A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

DMCA notices should be sent to: support@onepercent.dating with the subject line "DMCA Takedown Notice."

Upon receipt of a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing material and notify the user who provided the content. Repeat infringers may have their accounts terminated.

5. PRIVACY AND DATA SECURITY

Your privacy is important to us. Our Privacy Policy, available at onepercent.dating/privacy-policy, explains how we collect, use, and protect your information. We use industry-standard security measures and trusted third-party services for analytics, error tracking, and infrastructure.

6. SMS / TEXT MESSAGING

6.1 Types of Messages

If you opt in to receive SMS messages from Wingman Group LLC (operating as 1%), you may receive the following types of text messages depending on which consent(s) you provided:

Transactional Messages: Webinar reminders, event confirmations, account alerts, appointment notifications, and service-related updates
Marketing Messages: Promotional offers, product announcements, tips, and other commercial communications

Message frequency varies. You will only receive the category of messages you explicitly opted into.

6.2 Message & Data Rates

Message and data rates may apply depending on your mobile carrier and plan. Wingman Group LLC is not responsible for any charges incurred from your carrier for receiving SMS messages.

6.3 How to Unsubscribe

You may opt out of SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive one final confirmation message and no further SMS communications of that type. You may also email support@onepercent.dating to request removal. For help, reply HELP to any message.

6.4 Carrier Disclaimer

Carriers (e.g. T-Mobile, AT&T, Verizon) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and device compatibility.

6.5 Consent Not Required for Purchase

Consent to receive SMS messages is not a condition of purchasing any goods or services from Wingman Group LLC. You may use our Services without opting into SMS communications.

7. THIRD-PARTY PLATFORMS

CRITICAL: You are solely responsible for complying with the terms of service of any dating platforms where you use content created through our Services. We are not affiliated with, endorsed by, or sponsored by any dating platform. Dating platforms may ban or penalize accounts for various reasons, including use of edited photos. We are not responsible for any actions taken by dating platforms against your account.

By using our Services, you acknowledge that:

Dating platforms have their own terms of service that may prohibit certain types of edited content
We do not guarantee that content created through our Services will be accepted by any platform
You assume all risk related to how dating platforms respond to your profile
We have no control over and assume no responsibility for dating platform policies or actions

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 No Guarantees

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING OUR SERVICES, INCLUDING BUT NOT LIMITED TO NUMBER OF MATCHES, DATES, OR RELATIONSHIP OUTCOMES. SUCCESS IN ONLINE DATING DEPENDS ON MANY FACTORS BEYOND OUR CONTROL.

8.2 Service Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8.4 Dating Safety and Real-World Interactions

IMPORTANT: Our Services help you optimize your dating profiles and obtain matches on third-party dating platforms. We are not a dating platform and do not facilitate, arrange, or monitor any real-world interactions, dates, or meetings that may result from your use of our Services.

By using our Services, you acknowledge and agree that:

You assume all risk associated with any dates, meetings, or real-world interactions with individuals you connect with on dating platforms, regardless of whether your profile was created or optimized using our Services
We have no control over, and accept no responsibility for, the behavior, actions, identity, or intentions of any person you meet through dating platforms
We do not conduct background checks on dating platform users and cannot verify the identity or safety of anyone you interact with
You are solely responsible for your own safety when meeting people in person, and we strongly encourage you to follow safe dating practices, including meeting in public places, informing friends or family of your plans, and trusting your instincts
We are not liable for any injury, harm, loss, emotional distress, or damages of any kind arising from real-world interactions with individuals you connected with on dating platforms

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Wingman Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use or misuse of our Services
Your violation of these Terms
Your violation of any third-party rights or dating platform terms
Any content you create, upload, or distribute through our Services
Any misrepresentation in your dating profiles
Any abnormal or excessive use of our Services that results in unusual costs or resource consumption
Any damages or costs we incur as a result of your breach of these Terms, including but not limited to infrastructure costs, legal fees, and third-party claims

This indemnification obligation includes any costs we incur to investigate, defend against, or remedy any violation or suspected violation of these Terms. We reserve the right to assume exclusive control of the defense of any claim subject to indemnification, at your expense.

10. TERMINATION

10.1 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to violation of these Terms, suspected fraudulent or abusive activity, or if we reasonably believe that your continued use of our Services poses a risk to us, our users, or any third party. Upon termination, your right to use our Services ceases immediately and all licenses granted to you under these Terms are revoked.

10.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to your plan's features until that time. You may also request full account deletion by contacting support@onepercent.dating.

10.3 No Re-Registration After Ban

If your account has been terminated or suspended by us for any reason, you are prohibited from creating a new account or accessing our Services using a different identity, email address, or any other means without our express written permission. We reserve the right to use any technical means available to identify and block former users who attempt to circumvent this restriction. Violations of this provision may result in additional legal action.

10.4 Effect of Termination

Upon termination of your account for any reason:

All credits remaining in your account are forfeited and have no cash value
Any pending DFY requests may be cancelled without credit refund if work has already begun
Your access to all features, content, and data associated with your account will be permanently revoked
We may retain your data as necessary for legal compliance, dispute resolution, and enforcement of these Terms

11. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

11.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

11.2 Mandatory Pre-Arbitration Informal Dispute Resolution

Before initiating any arbitration or court proceeding, you and Wingman Group LLC agree to first attempt to resolve any dispute informally for at least sixty (60) days. The informal dispute resolution process begins when one party sends a written notice to the other describing the nature of the dispute, the specific relief sought, and the contact information of the complaining party.

You must send your notice to Wingman Group LLC at: 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, or by email to support@onepercent.dating with the subject line "Dispute Notice." We will send our notice to the email address associated with your account. If the dispute is not resolved within sixty (60) days of receipt of the notice, either party may proceed to arbitration as set forth below.

11.3 Arbitration Agreement

Subject to the pre-arbitration requirements in Section 11.2 and the small claims exception in Section 11.4, any disputes arising from these Terms or our Services shall be resolved through final and binding arbitration in accordance with the American Arbitration Association ("AAA") Consumer Arbitration Rules then in effect. The arbitration shall be conducted in English in Sheridan County, Wyoming, United States, or at another mutually agreed location.

The arbitrator shall have exclusive authority to resolve all disputes, including whether any claim is subject to arbitration. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorney's fees, unless the arbitrator determines that applicable law requires otherwise.

11.4 Small Claims Court Exception

Notwithstanding the arbitration agreement above, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court. If the dispute is removed from or appealed beyond small claims court, the arbitration agreement in Section 11.3 shall apply.

11.5 Class Action Waiver

YOU AND WINGMAN GROUP LLC AGREE THAT ANY DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

11.6 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WINGMAN GROUP LLC EACH WAIVE THE RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

12. MISCELLANEOUS

12.1 Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and 1% regarding our Services.

12.2 Modifications

We reserve the right to modify these Terms at any time, at our sole discretion, with or without notice. Changes become effective immediately upon posting to our website. It is your responsibility to review these Terms periodically for updates. We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, epidemics, acts of government, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications failures, cyberattacks, third-party service provider outages, or any other force majeure event. During such events, our obligations under these Terms shall be suspended for the duration of the event.

12.7 Electronic Communications

By using our Services, you consent to receiving electronic communications from us, including emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

12.8 No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and Wingman Group LLC. Nothing in these Terms shall be construed to create any rights in favor of any third party, and no third party shall have the right to enforce any provision of these Terms.

The following sections shall survive termination or expiration of these Terms: Section 1.3 (Prohibited Users), Section 4 (Intellectual Property), Section 8 (Disclaimers and Limitations of Liability), Section 9 (Indemnification), Section 10.4 (Effect of Termination), Section 11 (Dispute Resolution), Section 12 (Miscellaneous), and any other provisions that by their nature should survive termination.
